Short version: By using this website or working with Techcloude, you agree to these terms. Project-specific proposals may add details, but these baseline rules keep the relationship clear.
Acceptance of terms
By accessing this website, submitting a project inquiry, approving a proposal, paying an invoice, or engaging Techcloude for any service, you confirm that you have read, understood, and agree to be bound by these Terms of Service.
If you do not agree with any part of these terms, please do not proceed with using our website or services.
Our services
Techcloude provides the following professional digital services:
The specific scope, deliverables, timeline, and pricing for any project will be agreed upon in a written proposal or statement of work prior to commencement.
- Website design and development
- Web application design and development
- UX and UI design
- Graphic design
- Logo and brand identity design
- Technical strategy, maintenance, automation, integrations, and related digital services
Project agreements
Projects usually begin with a written proposal, quotation, estimate, statement of work, or email confirmation outlining scope, deliverables, timeline, milestones, assumptions, and payment terms. Work will not commence until:
Any change to the agreed scope after project commencement may result in revised timelines, extra fees, or new milestones. Scope changes must be approved by both parties in writing, including email or project-management comments.
- The proposal has been approved by the client in writing, and email is sufficient
- An initial deposit has been received as specified in the proposal
- Required access, content, approvals, and materials have been provided where needed
Payments and refunds
Payment terms are outlined in each proposal, quote, invoice, or written agreement. Unless otherwise agreed in writing, standard terms include:
- A non-refundable deposit, typically 50%, is required before work begins
- The remaining balance is due upon project completion or as per agreed milestones
- Invoices are payable within 7 days of issuance unless otherwise agreed
- Late payments may incur a 5% monthly fee on the outstanding amount
- Taxes, platform fees, paid plugins, subscriptions, hosting, domains, stock assets, and third-party charges are billed separately unless included in writing
Refund policy: The initial deposit is non-refundable as it secures your project slot and covers discovery work. If a project is cancelled after work has begun, you will be billed for work completed up to the cancellation date, which may exceed the deposit amount.
Intellectual property
Upon receipt of full payment, Techcloude transfers ownership of the final custom deliverables to the client, excluding pre-existing materials, reusable methods, internal tools, licensed third-party assets, open-source components, and platform-owned resources.
Until full payment is received, all work remains the intellectual property of Techcloude and may not be used, published, transferred, or distributed by the client.
Techcloude retains the right to display completed work in our portfolio, showcase page, and promotional materials unless the client explicitly requests confidentiality in writing.
Third-party assets, such as fonts, stock images, icons, plugins, frameworks, SaaS services, and libraries used in a project, remain subject to their respective licenses and terms.
Client responsibilities
To ensure smooth project delivery, clients are expected to:
Delays caused by the client may affect the project timeline and are not the responsibility of Techcloude.
- Provide all required content, assets, and feedback in a timely manner
- Ensure you have the right to use any content or materials you provide to us
- Designate a primary point of contact for the project
- Respond to review requests within the agreed timeframes
- Obtain any necessary third-party approvals before sharing with Techcloude
- Keep credentials, accounts, domain access, hosting access, and payment methods accurate and secure
- Review deliverables carefully before approval, launch, or handover
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes business strategies, unreleased products, credentials, customer data, internal processes, financial data, and non-public technical information.
This obligation of confidentiality continues for 3 years after the project completion date unless a separate written agreement states otherwise. If a formal Non-Disclosure Agreement is required, this can be arranged before project commencement.
Limitation of liability
Techcloude provides services on a best-effort basis. We are not liable for:
Our total liability in any matter is limited to the total amount paid by the client for the specific project in question.
- Indirect, incidental, or consequential damages arising from use of deliverables
- Loss of revenue, profit, or business opportunities resulting from project delays
- Issues arising from third-party tools, platforms, or services
- Website downtime, security breaches, or data loss after project handover
- Changes made by the client, another vendor, hosting provider, plugin, theme, platform, or third-party service after delivery
Termination
Either party may terminate a project engagement with 14 days written notice unless the relevant proposal states otherwise. Upon termination:
Techcloude reserves the right to terminate a project immediately if the client engages in abusive behaviour, requests illegal content, or fails to make payment after written notice.
- The client will be invoiced for all work completed up to the termination date
- Techcloude will deliver all completed work assets to the client upon full payment
- The initial deposit is non-refundable in all cases
Warranties and support
Unless otherwise stated in writing, deliverables are provided on an as-is and best-effort basis after client approval. We will make reasonable efforts to fix defects caused by our work during any agreed support or warranty period.
Support does not include new features, content entry, third-party outages, hosting issues, client-side changes, platform policy changes, or problems caused by software updates outside our control unless covered by a separate maintenance agreement.
Acceptable use
You agree not to use our website, deliverables, or services for illegal, harmful, abusive, fraudulent, infringing, discriminatory, or security-compromising activity. We may refuse or stop work that appears unlawful, unsafe, abusive, or inconsistent with professional standards.
Governing law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or any project engagement will be subject to the exclusive jurisdiction of the courts of Gujarat, India.
We will always attempt to resolve disputes amicably before any legal action is pursued.
